These terms govern your use of Kurindeta's website and services. Please read them carefully before engaging with us, they set out our mutual obligations.

Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "User", or "you") and Kurindeta Ltd, a company registered in Nigeria ("we", "us", "our"), governing your access to and use of our website at www.kurindeta.ng and all related services, training programmes, and deliverables.

By accessing our website, requesting a quote, enrolling in a training programme, or engaging our professional services, you confirm that you have read, understood, and agree to be bound by these Terms. If you are entering into this agreement on behalf of an organisation, you warrant that you have the authority to bind that organisation.

If you do not agree to these Terms, please discontinue use of our website and Services immediately.

Our Services

Kurindeta provides the following categories of professional services ("Services"):

  • Business Intelligence (BI) Deployments, including Power BI, Tableau, and custom dashboard solutions.
  • Data Analytics, descriptive, predictive, and prescriptive analytics for enterprise and SME clients.
  • Corporate Training, instructor-led and online courses in Excel, Power BI, Tableau, Financial Modelling, and related tools.
  • GRC Solutions, governance, risk, and compliance framework design and implementation.
  • Web Development, design and development of websites and web applications.
  • Brand Identity, logo design, brand strategy, and visual identity systems.

The specific scope, deliverables, timeline, and fees for any engagement are governed by a separate Statement of Work (SOW) or Proposal agreed in writing between Kurindeta and the Client. In the event of any conflict between these Terms and a specific SOW, the SOW shall take precedence.

We reserve the right to modify, suspend, or discontinue any Service at any time with reasonable notice. We will notify affected clients of any material changes to ongoing engagements.

Enrolment & Direct Engagements

Our website is strictly informational and inquiry-based. We do not require or provide user accounts, client portals, or password-protected login areas on this website.

  • Service Inquiries: All engagement requests, project quotes, and consultations are initiated via contact forms, official email, or direct communications.
  • Training Enrolment: Training courses (whether delivered remotely or in-person) are administered directly via written confirmation, official invoices, or designated virtual meeting links. Course seats are reserved for named participants or corporate cohorts as specified in the booking confirmation and are non-transferable without our prior written consent.

Payment & Fees

Professional Services:

  • Fees are set out in the agreed Proposal or SOW and are denominated in Nigerian Naira (NGN) or USD as agreed.
  • A deposit of 50% is typically required before commencement of any project unless otherwise agreed in writing.
  • Invoices are payable within 14 days of issue unless an alternative payment schedule is specified in the SOW.
  • Late payments attract an interest charge of 2% per month on the outstanding balance.
All prices quoted on our website are indicative. Final pricing is confirmed in writing in the relevant Proposal or SOW.

Intellectual Property

Kurindeta's IP: All content on our website, including text, graphics, logos, training slide decks, exercise materials, methodologies, frameworks, and software code, is owned by Kurindeta Ltd or its licensors and is protected by Nigerian and international intellectual property law. You may not copy, reproduce, distribute, or create derivative works without our prior written consent.

Client Deliverables: Upon receipt of full payment, Kurindeta assigns to the Client the intellectual property rights in the specific custom deliverables produced under the relevant SOW (e.g., bespoke dashboards, brand assets, custom website code). This assignment does not include underlying reusable frameworks, templates, libraries, or core methodologies developed independently by Kurindeta.

Training Materials: Course slides, workbooks, datasets, and supplementary materials provided during remote or in-person sessions are licensed exclusively for the personal, internal use of the registered participant. Redistribution, resale, recording, or using our materials to train third parties without an express licence from Kurindeta is strictly prohibited.

Client Data: You retain all intellectual property rights in data and materials you provide to us for consulting or training purposes. You grant us a limited, non-exclusive licence to process your data solely to perform the agreed Services.

Acceptable Use

You agree not to use our website or Services to:

  • Violate any applicable Nigerian or international law or regulation.
  • Transmit any unlawful, harmful, defamatory, obscene, or fraudulent material.
  • Infringe the intellectual property rights of Kurindeta or any third party.
  • Attempt to gain unauthorized access to our hosting infrastructure, web servers, or databases.
  • Interfere with or disrupt the integrity, security, or performance of our website.
  • Use automated systems (scrapers, bots, crawlers) to extract data or content from our website without prior written authorization.
  • Impersonate any person or entity or misrepresent your affiliation with Kurindeta Limited.

We reserve the right to restrict access to our services or take appropriate legal action against anyone who violates this policy.

Liability & Warranties

Warranties: Kurindeta warrants that its professional services and training will be delivered with reasonable skill, care, and industry competence by qualified personnel. Our website content is provided "as is," and we do not guarantee that website access will be uninterrupted or entirely free of minor server errors.

Limitation of Liability: To the maximum extent permitted by Nigerian law, Kurindeta's total aggregate liability for any claims arising out of these Terms or any service engagement shall not exceed the total fees actually paid by the Client to Kurindeta for the specific Service or SOW giving rise to the claim in the three (3) months preceding the event.

Excluded Losses: In no event shall Kurindeta be liable for any indirect, incidental, special, consequential, or punitive damages—including loss of profits, revenue, data, or business opportunity—even if advised of the possibility of such damages.

Indemnification: You agree to indemnify and hold harmless Kurindeta Ltd, its directors, employees, and contractors from any third-party claims, liabilities, damages, or legal expenses arising from your material breach of these Terms or your unlawful use of our deliverables.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In such cases, our liability will be limited to the minimum extent permitted by applicable law.

Termination

By either party: Either party may terminate an ongoing SOW or consulting engagement upon 30 days' written notice, subject to full payment for all billable work completed up to the date of termination.

For cause: We may terminate a service agreement or exclude a participant from a training session immediately without refund if the client/participant materially breaches these Terms, fails to pay fees when due, or engages in abusive, fraudulent, or illegal behavior toward our staff or other participants:

Upon termination, provisions relating to intellectual property, payment obligations, liability limitations, and governing law shall survive.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

Any disputes arising out of or in connection with these Terms shall first be subject to good-faith negotiation between the parties. If a dispute cannot be resolved through negotiation within 30 days, it shall be submitted to mediation administered under the rules of the Lagos Multi-Door Courthouse (LMDC). If mediation fails, disputes shall be referred to arbitration in Lagos, Nigeria.

Nothing in this clause prevents either party from seeking urgent injunctive or interim relief from a court of competent jurisdiction in Lagos, Nigeria.
